Terms of Use

These Terms of Use ("Terms") govern your access to and use of Pàdé, a service product of NovelDRAW Creative, Nigeria, with its operational office at 763, Abubakar Usman, Jabi, FCT, Abuja, Nigeria.

Pàdé provides digital ticketing, Event discovery, Event management, payment facilitation and related technology services.

By accessing Pàdé, creating an account, purchasing a Ticket, creating an Event or using any Pàdé service, you agree to these Terms. If you do not agree to these Terms, you should not use the Platform.

1. About Pàdé

Pàdé is an event-technology platform that connects Event Organisers with Customers and provides tools for:

  • Event creation;
  • Event discovery;
  • Ticket sales;
  • payment processing;
  • digital Ticket delivery;
  • QR-code admission;
  • attendee management;
  • Event reporting;
  • promotional tools; and
  • related Event technology services.

Pàdé may use third-party payment, communication, hosting, identity-verification, analytics, fraud-prevention and other service providers.

2. Definitions

"Account" means a registered Pàdé user account.

"Customer" means a person who uses Pàdé to discover, purchase or obtain Tickets.

"Event" means an event listed or administered through Pàdé.

"Event Organiser" means the person, business, promoter, organisation or other entity responsible for an Event.

"Platform" means the Pàdé website, applications, APIs, dashboards, software and associated services.

"Ticket" means a digital or physical admission credential issued through Pàdé.

"User" means any person accessing or using Pàdé.

3. Eligibility

You must have the legal capacity to enter into a binding agreement in the jurisdiction applicable to you.

If you are under the applicable age of legal capacity, you may use Pàdé only with the involvement and permission of a parent or legal guardian where required.

Event Organisers may be subject to additional verification requirements.

4. Accounts

You are responsible for:

  • keeping your login credentials secure;
  • providing accurate information;
  • maintaining the confidentiality of your account;
  • notifying Pàdé of unauthorised access; and
  • ensuring that information associated with your account remains accurate.

You must not create an account using another person's identity or provide misleading information.

Pàdé may suspend or terminate an account where there is reasonable evidence of fraud, abuse, security risk or breach of these Terms.

5. Event Organisers

Event Organisers are responsible for the Events they publish.

An Event Organiser must ensure that:

  • its Event description is accurate;
  • Ticket prices are correctly displayed;
  • Event capacity is accurately represented;
  • necessary licences and permissions have been obtained;
  • applicable taxes and statutory obligations are addressed;
  • Customers receive the Event substantially as advertised; and
  • all applicable laws are complied with.

Pàdé does not guarantee the quality, legality, safety, popularity or success of an Event merely because it is listed on the Platform.

6. Ticket Purchases

When you purchase a Ticket, you agree to the conditions attached to that Event.

Before completing payment, you should review:

  • Event date;
  • venue;
  • Ticket category;
  • price;
  • entry conditions;
  • age restrictions;
  • refund conditions; and
  • special instructions.

A Ticket may be personal, transferable or non-transferable depending on the Event Organiser's terms.

7. Ticket Validity

A Ticket may be rejected where it:

  • has already been used;
  • has been cancelled;
  • is associated with a reversed payment;
  • is fraudulent;
  • has been duplicated;
  • has been materially altered; or
  • is otherwise invalid.

Pàdé may use QR codes, barcodes, digital credentials or other technology to verify admission.

8. Payments

Payments may be processed by third-party payment providers.

Pàdé does not ordinarily store full payment-card credentials unless expressly stated and lawfully required for a particular service.

A successful payment does not necessarily mean that Pàdé or the Event Organiser has received irrevocable funds. Transactions may subsequently be reversed, disputed or charged back.

9. Pàdé Fees

Pàdé may charge fees for:

  • Ticket processing;
  • platform access;
  • payment facilitation;
  • promotional services;
  • premium Event tools;
  • operational services; and
  • other services.

Applicable charges will be displayed before the relevant transaction where reasonably practicable.

10. Organiser Payouts

Event Organisers acknowledge that proceeds from Ticket sales may be subject to:

  • Pàdé fees;
  • payment-processing costs;
  • refunds;
  • chargebacks;
  • reserves;
  • tax obligations;
  • reconciliation adjustments; and
  • other lawful deductions.

Pàdé may delay or hold payout amounts where reasonably necessary to manage financial, fraud, refund, regulatory or Event-related risk.

The detailed arrangements applicable to Event Organisers are governed by the applicable Pàdé Ticket Services Agreement and Payout & Settlement rules.

11. Refunds

Refunds are governed by the Pàdé Refund & Cancellation Policy, together with any Event-specific refund terms.

Customers should not assume that every Ticket is refundable.

12. Acceptable Use

You must not use Pàdé to:

  • commit fraud;
  • launder money;
  • finance terrorism;
  • impersonate another person;
  • sell illegal goods or services;
  • promote unlawful activities;
  • distribute malware;
  • interfere with the Platform;
  • circumvent security controls;
  • manipulate Ticket availability;
  • use bots to purchase Tickets unfairly;
  • create fraudulent Events;
  • abuse promotional offers;
  • harvest personal information unlawfully; or
  • violate another person's rights.

13. Prohibited Event Content

Pàdé may refuse or remove Events involving:

  • unlawful activities;
  • fraudulent fundraising;
  • deceptive investment schemes;
  • prohibited financial activities;
  • content that unlawfully exploits children;
  • activities presenting unreasonable safety risks;
  • Events requiring licences that the organiser cannot demonstrate;
  • counterfeit or infringing merchandise; or
  • other activities prohibited by applicable law.

14. Intellectual Property

Pàdé and its licensors own the Platform, software, designs, interfaces, trademarks, logos, databases and underlying technology.

You may not copy, modify, reverse-engineer, reproduce, sell, lease or commercially exploit Pàdé's proprietary technology without written permission.

15. User Content

Where you upload photographs, descriptions, logos, videos, artwork or other content, you retain ownership of that content.

You grant Pàdé a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, distribute and use that content to:

  • operate Pàdé;
  • display your Event;
  • promote your Event;
  • improve the Platform; and
  • provide the Services.

You warrant that you have the rights necessary to grant this licence.

16. Third-Party Services

Pàdé may integrate with external services, including payment processors, banks, mobile-money networks, email services, analytics systems, mapping services and cloud infrastructure.

Third-party services may be subject to their own terms and privacy policies.

Pàdé is not responsible for failures attributable solely to a third-party service provider.

17. Platform Availability

Pàdé aims to provide reliable services but does not guarantee uninterrupted availability.

The Platform may occasionally be unavailable due to:

  • maintenance;
  • upgrades;
  • technical failure;
  • cyber incidents;
  • telecommunications problems;
  • payment-network disruption; or
  • circumstances beyond Pàdé's reasonable control.

18. Suspension

Pàdé may suspend access where necessary to:

  • protect users;
  • investigate suspected fraud;
  • comply with law;
  • address payment risk;
  • protect Platform security;
  • enforce these Terms; or
  • protect the integrity of an Event.

19. Privacy

Your use of Pàdé is subject to the Pàdé Privacy Policy.

20. Disclaimer

Pàdé provides technology and ticketing services on an "as available" basis.

Pàdé does not warrant that:

  • every Event will occur as advertised;
  • every Event will meet a Customer's expectations;
  • every Ticket will be available;
  • the Platform will always operate without interruption; or
  • every payment will be successful.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Pàdé shall not be responsible for indirect, incidental, special or consequential losses arising from:

  • an Event;
  • cancellation;
  • postponement;
  • Customer dissatisfaction;
  • loss caused by an Event Organiser;
  • third-party payment failure; or
  • circumstances beyond Pàdé's reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded.

22. Indemnity

You agree to indemnify NovelDRAW Creative and Pàdé against claims, liabilities, losses and reasonable expenses arising from your:

  • breach of these Terms;
  • unlawful use of Pàdé;
  • fraud or misconduct;
  • infringement of third-party rights; or
  • violation of applicable law.

23. Changes to These Terms

Pàdé may update these Terms as the Platform develops or as legal, regulatory or operational requirements change.

Material changes will be communicated through reasonable means.

Your continued use of Pàdé after the effective date of revised Terms constitutes acceptance of those changes to the extent permitted by law.

24. Termination

You may stop using Pàdé at any time.

Pàdé may suspend or terminate your access where you breach these Terms or where continued access creates legal, financial, security or operational risk.

Rights and obligations that by their nature should survive termination will continue.

25. Governing Law

For users and Events operating in Nigeria, these Terms shall be governed by the laws of the Federal Republic of Nigeria.

For Pàdé's Ghana operations, Ghana-specific contractual terms may apply, including the applicable Pàdé Ticket Services Agreement and Ghanaian law.

Mandatory consumer rights applicable in the jurisdiction of the Customer are not excluded by these Terms.

26. Disputes

The Parties should first attempt to resolve disputes through good-faith communication.

Where a dispute cannot be resolved informally, the dispute-resolution mechanism contained in the applicable country-specific Pàdé agreement or applicable law shall apply.
